Spiritually Vibin' LLC — Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Spiritually Vibin’ mobile application, website, and related services (collectively, the “App”), operated by Spiritually Vibin’ LLC (“Spiritually Vibin’,” “we,” “us,” or “our”).

By accessing or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

These Terms replace and supersede all previous Terms of Service and Terms and Conditions published by Spiritually Vibin’ LLC.

Definitions

All terms used in this document shall have the definition assigned to them by the laws of the State of Michigan as interpreted by the Courts of the State of Michigan.

1. Acceptance of Terms

By creating an account, using, or accessing Spiritually Vibin’, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy.

2. Eligibility

You must:

·        Be at least 18 years of age;

·        Provide valid government-issued identification for verification; and

·        Be legally permitted to use dating and social networking services under applicable law.

By using the App, you represent and warrant that you meet these requirements. Your date of birth cannot be changed once your identity has been verified.

3. Nature of the App

Spiritually Vibin’ is a dating and social connection platform that may include:

·        Profile creation and compatibility features

·        Messaging and interaction tools

·        Astrology, numerology, chakra, zodiac, moon phase, and spiritual insights

All astrology and spiritual content is provided for entertainment, reflection, and personal insight only. Spiritually Vibin’ does not warrant or guarantee:

·        Matches, relationships, compatibility, or romantic outcomes

·        Emotional, spiritual, or personal results

4. Account Registration

To access certain features, you must create an account. You agree to:

·        Provide accurate and truthful information, including valid government-issued identification

·        Maintain the confidentiality of your login credentials

·        Accept responsibility for all activity conducted through your account

·        Notify us immediately of any unauthorised use of your account or any other breach of security

You may hold only one active account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. User Conduct

You agree not to:

·        Harass, threaten, stalk, or abuse other users

·        Post hateful, discriminatory, sexually explicit, or illegal content

·        Impersonate any person or entity, or create multiple accounts

·        Post inappropriate age-related content including pictures, videos, audio, or any other media as defined by the laws of the State of Michigan

·        Share personal or private information about others without their consent

·        Transmit any viruses, malware, or other harmful code

·        Engage in any form of automated data collection, including bots and scrapers

·        Use the App for unauthorised commercial purposes

·        Attempt to access systems or data not intended for you

You are solely responsible for any content you post or share, including messages, photographs, and profile information. We may remove content or suspend or terminate accounts at our sole discretion.

6. Astrology and Spiritual Content

Astrology, zodiac, moon phase, numerology, chakra, and spiritual content is provided for entertainment and self-reflection purposes only.

Spiritually Vibin’ is an entertainment service and does not provide:

·        Medical advice

·        Mental health advice

·        Legal advice

·        Financial advice

Nothing in the App is a diagnosis, a treatment, or a statement about your health. You are solely responsible for your decisions.

7. Safety, Screening and Verification

7.1 Registry screening, and what it is not

Every member is screened against the Michigan Public Sex Offender Registry and the Dru Sjodin National Sex Offender Public Website, at registration and annually thereafter.

This screening is not a criminal background check. It checks two public registries and nothing else. It does not establish that any member is safe, honest, or of good character, and it cannot identify anyone who is not on those registries. We do not conduct criminal background checks, credit checks, or character verification.

7.2 Identity verification

Identity verification is required before you can be matched with anyone. Verification is carried out by a third-party provider and compares a photograph of your identity document with a photograph of you.

Verification confirms that a document was provided and that it appears to match the person providing it. It is not a criminal background check and it is not a guarantee of anyone’s safety, conduct, or intentions.

7.3 Your responsibility, and safer dating

You are solely responsible for your interactions with other members. We do not guarantee or warrant the conduct of any other user. We strongly encourage you to:

·        Communicate within the App before meeting

·        Meet in public places

·        Tell somebody you trust where you are going

·        Avoid sharing financial or sensitive personal information

·        Never send money or gifts to another member

7.4 Photographs, reporting, blocking and moderation

Every photograph is reviewed by a person before any other member can see it.

The App provides tools to block another member, to end a match, and to report someone. Reports may be reviewed and acted upon, including by suspending or terminating an account. We do not guarantee any particular outcome. Reports concerning a member appearing to be under 18, or a member feeling unsafe in person, are prioritised.

7.5 Offline interactions

Spiritually Vibin’ is not responsible for, and does not guarantee or warrant:

·        In-person meetings

·        User conduct outside the App

·        Physical, emotional, or financial harm

7.6 Emergencies

Spiritually Vibin’ is not an emergency service and does not provide emergency services of any kind. If you are in danger, dial 911 or contact your local emergency services immediately.

8. Subscriptions and Payments

Spiritually Vibin’ offers free and paid subscription plans.

Billing

·        Payments are processed through the Apple App Store or Google Play Store and are governed by the terms of the relevant store

·        Subscriptions renew automatically unless cancelled

Cancellation

·        Subscriptions must be cancelled through your device’s app store

·        We cannot cancel a store subscription on your behalf

9. Refunds

Where a refund is processed by Apple or Google, their refund policies apply and we cannot override them.

Separately from those policies, Spiritually Vibin’ offers:

·        A full refund on request within 30 days of purchase, for any reason

·        A pro-rata refund if Spiritually Vibin’ ceases operating within twelve months of your purchase

If your account is terminated for a violation of these Terms, no refund or partial refund is due.

10. Intellectual Property

All content, trademarks, logos, APIs and software in the App are owned by Spiritually Vibin’ LLC, except where a third party has licensed material to us. You may not copy, modify, distribute, or exploit any part of the App without our written permission.

11. Your Content

You retain ownership of the content you submit. By submitting content, you grant Spiritually Vibin’ a non-exclusive, worldwide, royalty-free licence to use, display and distribute that content within the App for the purpose of operating the service.

We are not responsible for, and do not guarantee or warrant, content created by members.

12. Compatibility and Matching

Compatibility scores and the reasons shown alongside them are generated from information you provide — your birth details, the name you give for numerology, your chosen values, and your answers to the chakra questions. They are a reflection tool. They are not a prediction, an assessment of any person, or a statement that any interaction will succeed.

13. Messages

Messages sent within the App cannot be edited or deleted by you, by another member, or by Spiritually Vibin’. There is no function to do so.

A conversation belongs to both people in it. If the other person erases their account, the messages they sent to you remain readable by you, and the messages you sent remain readable by them.

14. Account Termination and Deletion

You may delete your account at any time.

When you delete your account, we destroy the encryption key that protects your personal data. Without that key your personal data cannot be read by anyone, including us, in our live systems or in any backup we hold. Messages you sent remain readable by the person you sent them to, as set out in §13.

We may suspend or terminate an account for:

·        Violations of these Terms

·        Harmful, abusive, or unlawful behaviour

·        Submission of any inappropriate age-related content as defined by the laws of the State of Michigan

·        Risk of harm — including mental, emotional, or physical harm — to other members or to the platform

We are required by law to report apparent child sexual abuse material to the National Center for Missing & Exploited Children, and to preserve the relevant material. We will do so.

15. Disclaimers

The App is provided “as is” and “as available”. To the fullest extent permitted by Michigan law, Spiritually Vibin’ disclaims all guarantees and warranties, including as to the accuracy, reliability, or availability of the service.

We do not guarantee that you will find a match, or that any interaction will be successful. Your use of the App is at your own risk.

16. Limitation of Liability

To the fullest extent permitted by law, Spiritually Vibin’ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, even if we have been advised of the possibility of such damages. We are not responsible for member interactions or their outcomes.

17. Indemnification

You agree to indemnify and hold harmless Spiritually Vibin’ LLC, its affiliates, and their respective officers, directors, employees and agents from any claims, losses, liabilities, damages, costs or expenses (including reasonable attorneys’ fees) arising out of your use of the App, your interactions with other members, or your violation of these Terms.

18. Dispute Resolution and Arbitration

Except as set out below, you agree that any dispute arising out of or relating to these Terms or your use of the App will be resolved by binding arbitration under the laws of the State of Michigan.

Exception for sexual assault and sexual harassment claims:

Notwithstanding anything to the contrary in this Agreement, any pre-dispute claim or dispute that alleges conduct constituting a “sexual harassment dispute” or a “sexual assault dispute” (as defined in 9 U.S.C. § 401) shall not be subject to mandatory arbitration. At the election of the individual alleging such conduct (or a named representative in a class or collective action), these claims shall be resolved in a court of competent jurisdiction rather than through arbitration.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

20. Availability

The App is offered in the United States only.

21. Changes to These Terms

We may update these Terms at any time. We will notify you of significant changes by posting a notice in the App or by email. Your continued use of the App after changes are posted constitutes acceptance of the updated Terms.
